Terms of Service

1. Agreement to terms

By creating an account or using the Kulode platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using Kulode on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, do not create an account or use the Service.

2. Description of service

Kulode is a cloud-based invoicing and financial management platform that allows businesses and freelancers to create invoices, accept payments, track expenses, generate financial reports, and prepare tax filing packs. Features available to you depend on your subscription plan.

3. Accounts

  • You must provide accurate and complete information when registering. You are responsible for keeping your details up to date.
  • You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account.
  • You must notify us immediately at legal@kulode.app if you suspect unauthorised access to your account.
  • You may not share your account credentials with third parties or create accounts on behalf of others without their consent.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription plans and billing

  • Kulode offers free and paid subscription plans. Paid plans are billed on a monthly or annual basis as selected at checkout.
  • All payments are processed by Paystack. By subscribing, you authorise Paystack to charge your chosen payment method on a recurring basis.
  • Prices are displayed in Nigerian Naira (NGN) and are inclusive of any applicable VAT unless otherwise stated.
  • Subscriptions auto-renew at the end of each billing period. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period with no partial refunds.
  • We reserve the right to change pricing with at least 30 days' notice. Continued use after the effective date of a price change constitutes acceptance.
  • Trial periods, if offered, automatically convert to paid plans at the end of the trial unless you cancel beforehand.

5. Acceptable use

You agree not to use Kulode to:

  • Violate any applicable law or regulation, including Nigerian tax laws and anti-money laundering requirements.
  • Create fraudulent invoices or misrepresent transactions.
  • Upload or transmit malware, viruses, or any malicious code.
  • Attempt to gain unauthorised access to other accounts, systems, or networks.
  • Scrape, reverse-engineer, or copy any part of the Service.
  • Use the Service to send unsolicited communications (spam).
  • Resell or sublicense access to the Service without our prior written consent.

6. Your content

You retain ownership of all data, invoices, client information, and other content you create or upload to Kulode ("Your Content"). By using the Service, you grant us a limited, non-exclusive licence to host, process, and display Your Content solely to provide the Service to you.

You are solely responsible for the accuracy and legality of Your Content. We are not responsible for errors in tax calculations or filings that result from inaccurate data you provide.

7. Intellectual property

All software, design, trademarks, and content that form part of the Kulode platform (excluding Your Content) are owned by or licensed to us. Nothing in these Terms transfers any intellectual property rights to you. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

8. Tax and financial information

Kulode provides tools to help you organise financial data and generate tax filing packs. This does not constitute professional tax, legal, or accounting advice. Tax laws are complex and change frequently. You should consult a qualified accountant or tax professional before submitting any filing to the Federal Inland Revenue Service (FIRS) or other authority. We are not liable for penalties, assessments, or losses arising from tax filings made using data from Kulode.

9. Service availability

We aim to provide a reliable service but do not guarantee uninterrupted availability. We may carry out scheduled maintenance (with advance notice where possible) or experience unplanned downtime. We will make reasonable efforts to minimise disruption and to notify you of significant outages.

10. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, secure, or that any defects will be corrected.

11. Limitation of liability

To the maximum extent permitted by applicable law, Kulode and its directors, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability to you in connection with these Terms shall not exceed the greater of (a) the total fees paid by you to Kulode in the 12 months preceding the claim, or (b) NGN 50,000.

12. Indemnity

You agree to indemnify and hold harmless Kulode and its affiliates from any claims, losses, damages, and expenses (including reasonable legal fees) arising from your use of the Service, Your Content, or your breach of these Terms.

13. Termination

Either party may terminate the relationship at any time. You may delete your account from account settings. We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law.

On termination, your right to use the Service ceases. You may export your data before termination. We will retain data as set out in our Privacy Policy.

14. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from or relating to these Terms shall first be attempted to be resolved amicably. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Nigeria.

15. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
